Complizer terms of service
1. Who provides the service
The Complizer service (the Service) is run by Momentum AI sp. z o.o., ul. Olsztyńska 58, 11-500 Wilkasy (KRS 0001171902, NIP 8452007341, REGON 541679702) (we). Contact in every matter about the Service: hello@complizer.eu.
These terms set out how the Service is used and are the terms of providing services by electronic means under article 8 of the Polish Act of 18 July 2002 on providing services by electronic means.
2. What the Service does
The Service prepares documents about products: technical data sheets, declarations of conformity, PPWR information and other documents a company sends to its customers. The company uploads the source files about a product (PDF, Word, a scan or a photo), chooses its own Word template, and the Service writes the facts from those files into the template and returns the finished document as Word or PDF, also translated into other languages.
The Service also keeps a library of document types. A type taken from the library carries a list of the elements a document of that type usually requires, each with the regulation or standard it comes from. For an uploaded file the Service shows which elements of that list the file does not state; for a prepared document it shows which fields were left empty. The Service does not judge whether stated values are correct and gives no legal advice.
A document the Service prepares is a draft. The company checks its content before sending it; the company that sends a document is responsible for its content.
3. Who the Service is for
The Service is for businesses: companies and other organisations that prepare product documentation as part of their activity. The person who creates the account declares that they act for the company, are authorised to enter into the agreement on its behalf, and that the agreement is of a professional nature for the company. Consumers do not use the Service.
4. The company's account and its people
- The first person from a company creates the account with a work email address and a password. The account exists once the address is confirmed with a link sent to it. That person becomes the company's administrator.
- One company has one account for its email domain. Further people join by invitation: a team member invites people with an address in the company's domain, an administrator also people with another address. An invitation holds for 7 days.
- The administrator manages people, roles, the plan, invoice details and the company's name. The company is responsible for the actions of the people using its account.
- A password is confidential. A person who suspects someone else knows their password changes it at once (Settings or "Forgot your password").
- A person removed from the company loses access at once. The documents they prepared stay in the company's account.
5. Technical requirements
The Service needs a current web browser (Chrome, Safari, Firefox or Edge) with cookies and JavaScript enabled, an internet connection and an email address. Source files: PDF, Word (.docx), JPG or PNG; templates: Word (.docx). One file may be at most 40 MB.
6. Plans and limits
- Every company starts on the Free plan: 15 documents a month, 5 people and 1 GB of files, no card and no commitment. The Free plan does not expire.
- A company may choose one of the paid plans: Starter, Plus, Pro or Enterprise. What each plan includes and costs is on the pricing page. Prices are net, in euro, per month; VAT at the applicable rate is added.
- Each plan has a limit of documents per calendar month, a limit of people in the company and a limit of storage for files. A document is every preparation of a document or a translation that is asked for; deleting a finished document does not return it to the limit. A failed preparation does not count.
- The administrator changes the plan in Settings. The change applies at once, with the new plan's limits. The Enterprise plan is agreed individually through the "Contact us" form.
- As the company approaches a limit, the administrator sees a note in the Service. Once the month's documents are used up, the Service prepares no further documents until the next month begins or the plan changes; access to existing documents remains.
7. Payments and invoices
- A paid plan is billed monthly, per calendar month. We issue a VAT invoice with the details the administrator gives in Settings and send it to the email address given there.
- An invoice is paid by bank transfer within 14 days of its date. When we offer card payment, the administrator will be able to choose it in Settings.
- We tell administrators of a price change by email at least 30 days ahead. The new price applies from the month after that date; a company that does not accept it cancels its plan before that day.
- No invoice is issued for the Free plan.
8. Cancellation and the end of the agreement
- The agreement is for an indefinite time. The administrator cancels the plan in Settings at any time; the plan runs to the end of the paid month, after which the account stops preparing documents. Access to uploaded files and finished documents remains.
- The administrator may ask us by email to delete the company's account. We then delete the account, its people, files and documents. Data needed for accounting and invoices is kept as long as tax law requires.
- We may end the agreement with a company that keeps breaching section 9 after a warning, with 14 days' notice, and at once in the case of a serious breach (unlawful content, an attack on the Service).
9. Content and rules of use
- Files, templates and documents remain the company's property. The company grants us the right to process them only as far as the service needs: reading them, preparing a document, translating, storing and making them available to the company's people.
- We do not use companies' files or documents to train models or for any purpose other than the service for that company.
- The company uploads only files it has the right to. Uploading unlawful content, malicious software or personal data beyond what product documentation usually carries is prohibited, as is anything that disrupts the Service (attacks, automated downloading of content, circumventing limits).
- The Service, its code, its design and its library of document types are ours. The company uses them within its account and does not copy them or make them available to people outside the company.
10. Processing personal data on the company's behalf
Source files and documents may contain personal data: names of contact persons and signatories, their email addresses and phone numbers. For that data the company is the controller and we are the processor. This section is the data processing agreement under article 28 GDPR.
- Subject matter and duration: processing of the data in the company's files and documents for as long as the account exists. Nature and purpose: storing, reading, preparing and translating documents on the company's instruction. Type of data: identification and contact data. Data subjects: employees and representatives of the company, its customers and its suppliers.
- We process the data only on the company's documented instruction; using the Service is that instruction. People with access to the data are bound to confidentiality.
- We apply the security measures described in the Privacy policy.
- We use further processors: the provider of the AI model that reads files and prepares documents, the hosting provider and the email delivery provider. Their categories are listed in the Privacy policy. We tell administrators of an intended change of a further processor by email at least 14 days ahead; the company may then object and end the agreement.
- We help the company answer requests from data subjects and meet its duties under articles 32 to 36 GDPR as far as we can on our side. We tell the company of a personal data breach without undue delay.
- When the agreement ends we delete the entrusted data, unless the law requires keeping it. The company may delete files and documents in the Service itself at any time before.
- We give the company the information needed to show that the duties of article 28 GDPR are met, and allow an audit agreed in advance, at the company's cost.
11. Liability
- The Service prepares documents from the files the company provides. We do not warrant that a document is complete, correct or compliant with the regulations that apply to the company's product; the assessment and the decision to send belong to the company.
- We look after the continuity of the Service. We announce technical breaks ahead when we can and plan them outside working hours.
- Our liability to the company for damage connected with the Service is limited to the fees the company paid in the last 12 months. The limit does not apply to damage caused intentionally (article 473 § 2 of the Polish Civil Code).
- We are not liable for the consequences of uploading files the company had no right to, nor for content the company wrote into documents itself.
12. Complaints
A company sends a complaint about the Service by email to our address, describing the problem and giving the account's email address. We answer within 14 days of receiving it, to the address it was sent from.
13. Changes to these terms
We tell administrators of a change to these terms by email at least 14 days before it takes effect, saying what changes. A company that does not accept the change cancels its plan before that day; using the Service after that day means accepting the change. Changes required by law or improving security may take effect sooner.
14. Final provisions
The agreement is governed by Polish law. Disputes are settled by the court competent for our seat. If one provision proves invalid, the others remain in force. These terms apply from the date given at the top of the page.
